1. Registration.

If you have reason to believe that your password is no longer secure, you must promptly change your password by updating your membership information by visiting Standard Alerts, then choose MyProfile and immediately notify MarketCalendar.com of the problem by emailing us at service@MarketCalendar.com.

YOU ARE ENTIRELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR USERNAME AND PASSWORD AND FOR ANY AND ALL ACTIVITIES THAT ARE CONDUCTED THROUGH YOUR ACCOUNT.

By registering for our Site and entering alert requests in our database, you agree to receive email alerts. MarketCalendar.com may occasionally need to send you messages pertaining to your use of the Services, and you will not be able to "opt out" of receiving such messages.

The Site itself may contain links to other websites. While using the Site you agree not to:

Express or imply that any statements you make are endorsed by MarketCalendar.com, without MarketCalendar.com's prior written consent;
Transmit any content or information, or submit any materials that are unlawful, misleading, fraudulent, threatening, abusive, libelous, defamatory, obscene or otherwise objectionable, or infringe on MarketCalendar.com or any third party's intellectual property or other rights;
Engage in spamming or flooding;

While using the Site you agree to comply with all applicable laws, rules and regulations. At any time upon request by MarketCalendar.com, you agree to sign a non-electronic version of this Agreement.

You acknowledge that you are responsible for obtaining and maintaining all software necessary to access, upload and/or download Material on or from the Site, as well as computer hardware and other equipment needed for access to and use of the Site, and all charges related thereto.

4. Termination

MarketCalendar.com reserves the right to immediately terminate your use of the Site or any portion thereof, in its sole discretion with or without cause. Upon termination of your membership, your right to use the Site immediately ceases.

MarketCalendar.com collects the personal information that you provide in connection with registering to participate in the services. Any such information will be treated as described in our Privacy Policy. MarketCalendar.com has no obligation to monitor the Site or any Material that you submit to the Site. YOU ACKNOWLEDGE THAT YOUR ACCESS TO AND USE OF THE SITE MAY NOT BE UNINTERRUPTED, ERROR-FREE OR SECURE. YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SITE AND YOUR RELIANCE THEREON. NO OPINION, ADVICE, OR STATEMENT OF MarketCalendar.com OR ITS AGENTS, WHETHER MADE ON THE SITE OR OTHERWISE, SHALL CREATE ANY WARRANTY. MarketCalendar.com makes no guarantees whatsoever, and disclaims all responsibility and liability for the completeness, accuracy, legality, reliability, operability, or availability of the Site or any services or Material contained thereon. MarketCalendar.com further disclaims all responsibility for the deletion, failure to store, or misdelivery of any Material, and from any harm resulting from uploading, downloading, or accessing any Material through the Site.

MarketCalendar.com further disclaims all responsibility and liability for any third party claims (i) arising out of or in connection with any Material, including without limitation, a claim that such Material violates the copyright, trademark or other intellectual property right, and (ii) arising out of your breach of the terms and conditions of this Agreement, including without limitation, Section 4 (Code of Conduct).

MarketCalendar.com neither endorses nor is responsible for any opinion, advice, information, or statement made or displayed on the Site by third parties. Under no circumstances will MarketCalendar.com or its agents be liable for any loss or damage caused by your reliance on such information. It is your responsibility to evaluate the accuracy and reliability of any opinion, advice, information, or statement available on the Site.

8. Indemnification

You agree to indemnify, defend and hold MarketCalendar.com, its officers, directors, employees, agents and representatives harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys' fees) or other expenses that arise directly or indirectly out of or from (a) your breach of this Agreement; (b) any allegation that any Materials that you submit to MarketCalendar.com infringe or otherwise violate the copyright, trademark, trade secret or other intellectual property or other rights of any third party; (c) your violation of the Code of Conduct above; and/or (d) your activities in connection with any of the Site.

All other trademarks, service marks and logos used on the Site are the trademarks, service marks or logos of their respective owners. This Agreement is entered into in the State of New Jersey and shall be governed by and construed in accordance with the laws of the State of New Jersey, exclusive of its choice of law rules. Each party to this Agreement hereby submits to the exclusive jurisdiction of the state and federal courts sitting in the State of New Jersey, and waives any jurisdictional, venue or inconvenient forum objections to such courts. In any action to enforce this Agreement, the prevailing party will be entitled to reasonable costs and attorneys' fees. In the event that any of the provisions of this Agreement shall be held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement is not assignable, transferable or sublicensable by you except with MarketCalendar.com's prior written consent. This Agreement constitutes the entire agreement between the parties hereto pertaining to the subject matter hereof and any and all prior or contemporaneous written or oral agreements existing between the parties hereto are expressly canceled. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption or paragraph title contained in this Agreement is inserted only as a matter of convenience and in no way defines or explains any paragraph or provision hereof.
